Terms of Service

These Terms of Service ("Terms") govern your use of the StaffPlace platform ("Service") operated by Geospatial Technology Services Limited ("Company", "we", "us"). By registering for or using StaffPlace, you agree to these Terms.

1. Service Description

StaffPlace is a cloud-based people management platform providing HR, payroll, appraisal, training, and related workforce management tools. The Service is provided on a Software-as-a-Service (SaaS) basis.

2. Account Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the confidentiality of your account credentials
• You must be 18 years or older and authorised to act on behalf of your organisation
• One organisation account per registration; sub-accounts managed through the platform

3. Your Responsibilities

As the Data Controller for your employee data, you are responsible for:

• Ensuring you have lawful basis to process your employees' personal data
• Obtaining any required consents from your employees
• The accuracy and completeness of data entered into the platform
• Managing user access and permissions within your organisation
• Complying with applicable employment and data protection laws in your jurisdiction

4. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to other organisations' data
• Upload malicious files or code
• Share your account credentials with unauthorised persons
• Use the platform to discriminate against employees unlawfully
• Reverse engineer, decompile, or attempt to extract the source code
• Exceed reasonable usage limits or engage in automated scraping

5. Service Plans & Payments

• Starter (Free): Up to 10 staff, core modules only
• Professional: Billed monthly per active staff member
• Enterprise: Custom pricing, billed annually or as agreed

Paid subscriptions are billed in advance. Fees are non-refundable except as required by law. We may change pricing with 30 days' notice.

6. Data Ownership

Upon request or account termination, we will provide a complete export of your data in standard formats (CSV/JSON) within 7 business days.

7. Service Level

• We target 99.5% uptime for the platform (excluding scheduled maintenance)
• Scheduled maintenance windows will be communicated at least 24 hours in advance
• We perform daily automated backups with 30-day retention
• We will notify you promptly of any data breach affecting your organisation

8. Limitation of Liability

To the maximum extent permitted by law:

• StaffPlace is provided "as is" without warranty of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the 12 months prior to the claim
• We are not liable for errors in tax calculations if incorrect data is provided
• You acknowledge that the tax and pension calculations are tools to assist, not replace, professional tax advice

9. Intellectual Property

The StaffPlace platform, including its code, design, branding, and documentation, is the intellectual property of Geospatial Technology Services Limited. Your subscription grants you a non-exclusive, non-transferable licence to use the Service for your internal business purposes.

10. Termination

• You may cancel your account at any time from Org Settings
• We may suspend accounts for non-payment or Terms violations (with 14 days' notice)
• Upon termination, your data remains accessible for 30 days for export
• After 30 days, all data is permanently and irreversibly deleted

11. Modifications

We may modify these Terms with 30 days' notice. Continued use after changes take effect constitutes acceptance. If you disagree with changes, you may terminate your account.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through arbitration in Lagos, Nigeria, under the rules of the Lagos Court of Arbitration.
